Welcome to Apex Ecom. By purchasing or accessing our products or services, you agree to be bound by these Terms & Conditions.

These Terms contain disclaimers of warranties and limitations of liabilities. By purchasing from Apex Ecom, you and your business agree to these terms. If you do not agree, do not purchase.

Apex Ecom reserves the right to update these Terms at any time. Continued use after changes constitutes acceptance.

SECTION 1 – General Use

Our services are intended for adults operating a business. By purchasing from Apex Ecom, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding contract, and have read and agree to these Terms.

SECTION 2 – Intellectual Property

All content provided by Apex Ecom, including training materials, the Subscription-First Ecom System, coaching calls, product selection frameworks, creative testing templates, email/SMS flow templates, scaling strategies, videos, and all other materials, are protected by copyright and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use these materials for your personal business use only. You may not copy, reproduce, distribute, sell, or share any materials without express written permission from Apex Ecom.

SECTION 3 – Privacy

Your submission of personal information is governed by our Privacy Policy. Apex Ecom respects your privacy and will not sell or rent your personal information to third parties.

SECTION 4 – Payment and Refunds

By purchasing Apex Ecom products or services, you agree to pay all fees associated with your selected payment plan. All prices are in U.S. Dollars.

Payment must be received before access is granted. If you select a payment plan, you authorize Apex Ecom to charge your payment method on the scheduled dates.

Payments are non-refundable except as outlined in the Apex Ecom Promissory Agreement. The client agrees not to initiate chargebacks or disputes without prior consultation with Apex Ecom. Attempted chargebacks without valid grounds constitute a breach of this Agreement.

SECTION 5 – Disclaimer: Your Results Will Vary

Every business is different. YOUR INDIVIDUAL RESULTS WILL VARY depending on factors unique to your business, including your effort, niche, skills, and market conditions.

Apex Ecom does not promise, guarantee, or warrant your success, income, or sales. We do not provide sales leads or referrals. We provide training, systems, and support, but we cannot control how you implement them or guarantee any specific outcome.

We do not sell a "get rich quick" program or guaranteed system. You should not purchase if that is your expectation. Results require time, effort, and consistent execution.

We do not offer tax, accounting, financial, or legal advice. Consult your own professionals for such matters.

SECTION 6 – Your Responsibilities

You represent that you operate a legitimate business and will use Apex Ecom services only for lawful purposes.

You are solely responsible for complying with all applicable laws in running your business, including laws governing advertising, marketing, email communications (including CAN-SPAM), and taxes.

You agree to notify Apex Ecom if any investigation or lawsuit is threatened or filed against you, and Apex Ecom may terminate this Agreement without liability.

SECTION 7 – Disclaimers of Warranties

ALL CONTENT AND SERVICES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC EXPECTATIONS OR PRODUCE ANY PARTICULAR RESULTS.

SECTION 8 – Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX ECOM AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SECTION 9 – Dispute Resolution

If you have a dispute, you agree to first contact us at [email protected] to attempt informal resolution.

Any dispute that cannot be resolved informally within 60 days shall be resolved by binding arbitration. You agree to bring claims only in your individual capacity and waive any right to participate in a class action.

SECTION 10 – Indemnification

You agree to defend, indemnify, and hold harmless Apex Ecom and its affiliates from any claims, damages, or expenses arising from your use of our services, your breach of these Terms, or your violation of any law or third-party rights.

SECTION 11 – Termination

This Agreement takes effect when you purchase Apex Ecom services. We may terminate or suspend your access at any time if you fail to comply with these Terms. Upon termination, you remain responsible for any outstanding payments.

SECTION 12 – Governing Law

This Agreement shall be governed by the laws of the State of Florida, United States, without regard to conflicts of law principles.

SECTION 13 – Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

SECTION 14 – Entire Agreement

These Terms, together with our Privacy Policy and the Apex Ecom Promissory Agreement, constitute the entire agreement between you and Apex Ecom.
